Quadrus Investment Services Ltd. (“Quadrus”) is one of the
largest mutual fund dealers in Canada. Quadrus is a member of the Great-West

Mackenzie Financial Corporation (the “Manager”) is the sponsor
and manager or trustee of Quadrus Group of Funds and is a multi-faceted
investment management and financial services corporation founded in
1967. The Manager is a member of the IGM Financial Inc. group of companies
(TSX: IGM) and operates directly in North America and internationally
through partner sub-advisor firms. The Manager’s core business
is the management of mutual funds on behalf of North American investors.
The Manager manages and administers more than 100 investment funds,
including mutual funds, segregated funds, pooled funds, pension funds,
labour sponsored funds and structured products.
III. About the Strategic Charitable Giving Foundation
The Foundation is a non-profit charitable corporation registered as
a public foundation with the Canada Revenue Agency and with the Quebec
Ministry of Revenue. The objective of the Foundation is to receive and
maintain charitable giving funds and to apply all or part of the principal
and income from those funds to a donor’s favourite charity and
other permitted entities. The Foundation is governed by a Board of Directors
and the majority of the Board is independent of Quadrus, the Manager
and their affiliates.

of return for the funds are the historical annual compounded total returns
including changes in unit value and reinvestment of all distributions

XII. Distribution disclosure (including D series funds)
The payment of distributions is not guaranteed and may fluctuate. The
payment of distributions should not be confused with a fund’s
performance, rate of return or yield. If distributions paid by the fund
are greater than the performance of the fund, your original investment
will shrink. Distributions paid as a result of capital gains realized
by a fund, and income and dividends earned by a fund are taxable in
your hands in the year they are paid. Your adjusted cost base will be
reduced by the amount of any returns of capital. If your adjusted cost
base goes below zero, you will have to pay capital gains tax on the
amount below zero.
While investors in D series funds will be able to defer some personal
capital gains, they still must pay tax on capital gains distributions
that arise from the sale of individual fund holdings by fund managers,
and on interest and dividend distributions. If required, D series funds
will also pay a distribution that must be reinvested in December, consisting
of income and capital gains.

Overall, while corporate class funds provide tax-deferral advantages,
taxes are still inevitable. Corporate class funds only delay the capital
gain; they don’t allow you to avoid capital gains or tax liabilities
that are triggered when an investor leaves the corporate class fund

that may potentially increase capital gains dividends distributed to
investors.

XV. GLOBEfund 5-Star Ratings
Globefund 5-Star Ratings reflect performance as of a particular date
and are subject to change monthly. The ratings are an objective, quantitative
measure of a fund’s historical risk-adjusted performance relative
to other funds in its category. In conjunction with Algorithmics Inc.,
Globefund.com is a simple rating for most mutual funds in Canada. Globefund
5-Star Ratings will help you understand how well each fund has been
doing relative to similar funds. Mutual funds are divided into six broad
fund categories that closely match the asset allocation categories used
by investment representatives, as follows: growth (primarily mid-size
and large cap Canadian equity funds), growth and income (primarily balanced,
dividend and asset allocation funds), international growth (foreign
equity funds), aggressive growth (primarily small cap, geographic and
specialty funds), income (fixed income and mortgage funds) and capital
preservation (Canadian and foreign money market funds). The only qualification
for including a fund in the rating system is that it must have at least
two years of history. Currently, that means ratings are computed for
approximately 80 per cent of the 6,000 Canadian mutual funds that are
tracked. Once classified into one of these broad categories, all the
funds within that category compete with each other in terms of the best
score, and hence the best rating. A fund's score is a combination of
return and regret and is determined as follows:
On a monthly basis for each fund, month-by-month returns are computed
and subtracted from the returns of a 90-day Canadian T-Bill to get what
is known as the risk-free return for each month. If this result is positive
for any one month, it contributes to the fund's return. If it is negative,
it contributes to the fund's regret. Then, Globefund applies an averaging
method across each of these returns and regrets (with increasing weight
on the most recent data) to derive a final measure for return and for
regret for each fund. The final score for a fund is then computed as
the return score minus an adjusted regret score, where the adjustment
factor for the regret component is unique for each broad asset category.
Using the final scores for each of the funds in a category, funds are
ranked and then allocated a star rating for each. The top 10 per cent
of funds receive a five-star rating, the next 22.5 per cent a four-star
rating, the middle 35 per cent a three-star rating, the next 22.5 per
cent a two-star rating and the bottom 10 per cent of funds a one-star
rating.
XVI. Borrowing money to buy securities (leveraging)
A purchase of securities with borrowed money involves greater risk than
a purchase using cash only. The extent of that risk depends on the circumstances
of the investor and the type of investment purchased. If cash is used
to pay for the securities purchase in full, the percentage gain or loss
on the investment will equal the percentage increase or decrease in
the value of the securities. The purchase of securities using borrowed
money magnifies the gain or loss on the cash invested. This effect is
called leveraging.
An investor should also be aware of the terms of a loan used to purchase
securities. The lender may require that the amount outstanding on the
loan not rise above an agreed percentage of the market value of the
securities. In these circumstances, the investor must pay down the loan
or sell the securities to return the loan amount to the agreed percentage.
If the investor does not have enough cash, the investor must sell securities,
even at a loss, to provide money to reduce the loan.
Money is also required to pay interest on the loan. Investors who borrow
money to purchase securities should have adequate financial resources
available to pay interest and reduce the loan if necessary. [Top]
